BeatU Music Player Terms of Use

1. Agreement to Terms

By installing, accessing, or using BeatU ("the App"), you expressly consent to be legally bound by these Terms of Use. If you do not unconditionally accept all provisions herein, you are not authorized to use this application. BeatU is provided at no cost by BeatU Technologies ("we", "us", or "our").

2. Eligibility Requirements

• Are at least 13 years of age
• Possess legal capacity to form binding contracts
• Are not barred from receiving services under applicable laws

Parents or guardians of minors assume full responsibility for their compliance with these Terms.

3. Service Description

BeatU provides an offline music playback solution enabling users to:

• Organize and play locally stored audio files (MP3, FLAC, WAV, etc.)
• Create and manage custom playlists
• Access playback controls via lock screen/notifications
• Utilize Bluetooth audio connectivity

4. License Grant

Subject to compliance with these Terms, we grant you:

• A limited, non-exclusive license to install and use the App
• Permission to reproduce reasonable portions for personal playback
• Rights to create derivative playlists from your music library

This license is non-transferable, revocable, and terminates automatically upon violation.

5. Permitted Usage

✅ You may:

• Install the App on multiple personal devices
• Play legally acquired music files
• Create unlimited personal playlists
• Utilize all features for non-commercial purposes
• Transfer the App when upgrading devices

🚫 Strictly Prohibited:

• Reverse engineering, decompiling, or modifying App code
• Commercial exploitation including public performances
• Distributing copyrighted content without authorization
• Automated data scraping or API misuse
• Network disruption or service interference
• Circumventing digital rights management systems

6. Intellectual Property Rights

6.1 Our Ownership:

• All App code, interfaces, designs, and documentation
• "BeatU" trademark and associated branding
• Analytical methodologies and algorithms

6.2 Your Retained Rights:

• Full ownership of personal music files
• Control over user-created playlists

6.3 Third-Party Components:

• Certain libraries governed by separate OSS licenses
• Attribution details available in App settings

7. Service Modifications & Availability

7.1 We reserve the right to:

• Release updates modifying features/interface
• Temporarily suspend service for maintenance
• Discontinue support for older OS versions

7.2 Notification Protocol:

• Significant changes announced via in-App banner
• Update history documented in release notes
• Continued use constitutes acceptance of modifications

8. User Responsibilities

• Ensure all music files are legally obtained
• Maintain security of devices running BeatU
• Not misuse App functionality for unlawful purposes
• Comply with all applicable local/international laws
• Regularly back up playlists to prevent data loss

9. Service Limitations & Disclaimers

The App is provided "AS IS" without warranties of:

• Continuous availability or error-free operation
• Compatibility with all Android devices/versions
• Support for every audio file format/codec
• Preservation of playlists during OS upgrades
• Functionality with third-party accessories

10. Termination Policy

10.1 User-Initiated:

Uninstall the App at any time

10.2 Company Rights:

We may suspend/terminate access if you:

• Materially breach these Terms
• Engage in copyright infringement
• Attempt to compromise App security
• Violate applicable laws using our service

Notice will be provided where practicable.

11. Dispute Resolution

11.1 Mandatory Arbitration:

• Claims resolved through binding arbitration in Hong Kong
• Administered by HKIAC under UNCITRAL Rules
• Each party bears own costs unless awarded

11.2 Class Action Waiver:

• Claims must proceed individually, not as class actions

12. General Provisions

• 12.1 Entire Agreement: Supersedes all prior agreements
• 12.2 Severability: Invalid provisions do not affect remaining Terms
• 12.3 Assignment: Rights may not be transferred without written consent
• 12.4 Governing Law: Interpreted under laws of Hong Kong SAR
